Terms and Conditions of Sale

1. General

  • 1.1 The following Terms and Conditions apply to all offers, orders, deliveries and services made or rendered by the Seller as well as to pending and future transactions and deliveries even if no express reference to these terms is being made, as far as these terms have applied to an earlier transaction or delivery. Deviating terms of the Buyer shall only apply if expressly confirmed by the Seller in writing.

2. Offers and Prices

  • 2.1 Offers are made subject to the goods being unsold and without obligation regarding prices, quantity, time of delivery and availability of stock.
  • 2.2 Quotations are valid for a maximum period of 30 days from the date stated on the quotation, unless otherwise explicitly agreed.
  • 2.3 Prices quoted are exclusive of shipping, insurance and other export documentation costs, unless otherwise requested by the buyer. Prices quoted are also exclusive of taxes and duties in both the country of the Buyer and the Seller.
  • 2.4 The Seller reserves the right to change prices without notice. Goods will be invoiced at the prices valid on the date of confirmation of the Buyer's order.

3. Orders

  • 3.1 Orders received are subject to confirmation in writing by the Seller.
  • 3.2 Purchase orders submitted to the Seller are considered final. The Seller has no obligation to accept changes or cancellations to the order.

4. Terms of Payment

  • 4.1 Payment is to be made within the agreed terms set out by the Seller. Any changes to the payment terms must be mutually agreed in writing by both parties.
  • 4.2 Duties and imported taxes are to be paid by the Buyer.
  • 4.3 In the case that the Buyer does not comply with the payment due date, the Seller has the right to charge interest at the rate of 1.5% per month that the invoice is overdue.
  • 4.4 The Buyer shall be responsible for all transfer fees on their end, and the Seller shall be responsible for fees on the receiving end.

5. Delivery and Shipment

  • 5.1 Goods are dispatched at the Buyer's risk.
  • 5.2 In the absence of a formal agreement, the goods shall be deemed to be sold "Ex Works" Biopanda Diagnostics, Carrowreagh Road, Belfast, United Kingdom.

6. Defects and Complaints

  • 6.1 Claims of shortage/damaged goods must be made within 3 working days of receipt by the Buyer. If the damage or shortage is immediately apparently on delivery, please notify the carrier when signing for goods, and inform Biopanda Diagnostics as soon as possible.
  • 6.2 The Buyer must not return the goods without confirmation from the Seller.
  • 6.3 The Seller reserves the right to opt between remedying the deficiency of supply, making a replacement shipment, or crediting the Buyer for the missing or defective goods.

7. Product Liability

  • 7.1 Biopanda Diagnostics shall not be liable for any loss of production, loss of profit or any other indirect loss.
  • 7.2 Biopanda Diagnostics shall be liable for personal injury only if it is proved that such injury was caused by negligence of Biopanda Diagnostics.
  • 7.3 The above limitations in Biopanda Diagnostics' liability shall not apply where Biopanda Diagnostics has been guilty of gross misconduct.

Force Majeure

The following circumstances shall be considered as case of relief if they impede the fulfilment of the order or make the fulfilment unreasonably onerous: industrial disputes and any other circumstance beyond the control of the parties such as fire, war, general mobilisation or unforeseen military mobilisations to a similar extent, requisition, seizure, currency restrictions, insurrection and civil commotion, shortage of transport, general shortage of materials, restrictions in the use of power and defects or delays in deliveries by subcontractors caused by any such circumstance referred to in this paragraph which had occurred prior to the confirmation of the order shall constitute cases of relief only if their effect on the delivery of the order could not have been foreseen at the time of the confirmation of the order.
